Real Estate Transactions

 

We represent those who are buying, selling, financing or leasing property. We also give counsel on major asset purchases where assignment of leases and loans are a substantial component of the purchase. We counsel on lease and loan workouts. Real estate transactions we regularly counsel on include: office buildings, warehouses, industrial buildings, retail, shopping centers, storage facilities, and manufactured housing communities.

Corporate Law

 

From the establishment of corporations, partnerships and limited liability companies, to advising on governance, purchase and sales of corporate entities, and dissolution, we offer counsel on a wide variety of business and corporate law matters.

Real Estate Financing

We are experienced with drafting and negotiating the transaction documents for property financing transactions including multi-state multi-property deals. We deliver opinion letters on these transactions and have taken the lead in coordinating with local counsel as well as acting as local counsel. We also have experience advising on loan administration issues and workouts of distressed assets.

Neighboring Property Rights Disputes

We provide counsel on the following issues between neighbors: easements, encroachments, tree related disputes, view disputes, noise, odor, and light issues, and issues stemming from new development by adjoining property owners.

Construction Matters

Our representation in construction matters includes advising as to the consequences of construction defects, overseeing construction progress on behalf of clients, and counseling clients on construction contract negotiation.

Property Management Issues

From interpreting a lease, to negotiating material contracts on a property, to overseeing a management team on behalf of a property owner, we know and can give counsel on the day-to-day operations of commercial property ownership. 

Land Use​

We are experienced in seeking change of land use / zoning designation and can advise and oversee land use matters, often working with specialist counsel on entitlements and permissive uses.

Tax

We advise on tax issues for partnerships, LLCs, and trusts, on tax-deferred exchanges, tax implications of construction or leasing transactions, property tax and transfer taxes, and on addressing and resolving tax lien issues.

Ronald A. Bragin (retired)

Ronald A. Bragin practiced real estate and business law since 1975 and spent a decade handling litigation matters before migrating to transactions. Over the years he handled transactions involving hundreds of commercial leases, conduit and bank loans, purchases and sales of regional shopping centers, single and multi-tenant retail properties, industrial and light industrial parks, office buildings, storage facilities and mobile home parks throughout the United States.

After working in several prominent law firms, Ronald founded Bragin Law, PC in 2008 where he was affiliated until 2023. He graduated from UC Berkeley in 1972 with an A.B. in Economics and received his J.D. from the University of Southern California Law Center in 1975.

Andrew S. Bragin

Andrew S. Bragin has practiced law with Bragin Law, PC since 2013. He has extensive experience in real estate matters and also serves as an adviser on business, corporate and tax matters.  His clients include: landlords, tenants, borrowers, builders, and property owners.

 

Andrew started his career at Sullivan & Cromwell LLP. He has also worked at Holland & Knight. He holds an LL.M. (taxation) from NYU School of Law (2011), a J.D. from UC Berkeley School of Law (2008), and a B.A. in Economics and Philosophy magna cum laude from Brandeis University (2005).
